Application for Approval to Acquire Control of the Pennsylvania Domiciled Insurance Subsidiaries of Eastern Insurance Holdings, Inc.

 ProAssurance Corporation, a Delaware corporation, has filed an application to acquire control of the following Pennsylvania domiciled insurers: Eastern Alliance Insurance Company, Eastern Advantage Assurance Company and Allied Eastern Indemnity Company. The acquisition of control is proposed to be achieved through the merger of Eastern Insurance Holdings, Inc. with a newly formed subsidiary of ProAssurance Corporation. Eastern Alliance Insurance Company, Eastern Advantage Assurance Company and Allied Eastern Indemnity Company are all indirect wholly-owned subsidiaries of Eastern Insurance Holdings, Inc. The filing was received on September 25, 2013, and was made under Article XIV of The Insurance Company Law of 1921 (40 P. S. §§ 991.1401—991.1413).

 Persons wishing to comment on this acquisition are invited to submit a written statement to the Insurance Department (Department) within 30 days from the date of publication of this notice in the Pennsylvania Bulletin. Each written statement must include the name, address and telephone number of the interested party; identification of the application to which the statement is addressed; and a concise statement with sufficient detail and relevant facts to inform the Department of the exact basis of the statement.
